Confidentiality Agreement

Parties. This agreement is between The NoLimits Group Inc. and the applicant named in this form for the purpose of evaluating a potential new business relationship.

Confidential information. Confidential information includes commercial, technical, scientific, financial, legal, personal, strategic, operational, supplier, customer, employee, intellectual-property, and trade-secret information shared in a confidential context.

Obligations. The recipient agrees to maintain strict confidentiality, use confidential information only for the evaluation of the potential relationship, avoid disclosure to third parties without written authorization, protect the information with reasonable care, and ensure related representatives maintain the same confidentiality.

Exclusions. These obligations do not apply to information already known by the recipient, publicly available, received from a third party without breach, independently developed, or required to be disclosed by court order.

Duration. Confidentiality obligations last twenty years for confidential information that is not a trade secret, and indefinitely for trade secrets.

Legal terms. The agreement includes the original form's notice, ownership, relationship, precedence, scope, Quebec governing law, jurisdiction, severability, and counterpart-signature provisions.
